Terms of Service

These Terms of Service govern your use of WebYellow's website and subscription-based web design, hosting, SEO, and digital marketing services. Please read them carefully before subscribing to any of our plans.

1. Acceptance of Terms

Welcome to WebYellow LLC ("WebYellow," "we," "us," or "our"). By accessing or using our website at webyellow.com (the "Site") or engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Site or services.

These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and WebYellow LLC, a Connecticut limited liability company. We may update these Terms from time to time, and continued use of our services after any changes constitutes your acceptance of the revised Terms.

2. Description of Services

WebYellow provides web design, web development, website hosting, site maintenance, search engine optimization (SEO), and digital marketing services to small and medium-sized businesses. Our services are offered through recurring monthly subscription plans.

Our subscription plans may include some or all of the following, depending on the plan you select:

  • Website design and development: Custom design and build of your business website.
  • Website hosting: Secure hosting infrastructure for your website.
  • Website maintenance: Ongoing updates, security patches, and technical support.
  • Search engine optimization (SEO): Optimization to improve your site's visibility in search results.
  • Digital marketing: Management of paid advertising campaigns, local SEO, geo/AEO optimization, and strategy consulting.

The specific services included in your subscription are defined in your selected plan and any project agreement or proposal. We reserve the right to modify service offerings and plan features with reasonable notice to existing subscribers.

3. Payment Terms

Our services are billed as recurring monthly subscriptions. By subscribing, you authorize WebYellow to charge your designated payment method on a recurring basis for the duration of your subscription until canceled.

  • Accepted payment methods: We accept major credit/debit cards and ACH (bank transfer).
  • Billing cycle: Subscriptions are billed monthly in advance, on or around the same calendar day each month as your initial subscription date.
  • Pricing: Current plan pricing is displayed on our Site. We may adjust pricing with at least 30 days' prior notice to existing subscribers. New pricing takes effect on your next billing cycle following the notice period.
  • Failed payments: If a payment is declined or fails, we will notify you and attempt to re-charge within a reasonable period. If payment is not resolved within 10 days, we may suspend or terminate your services until payment is received.
  • Late payments: Outstanding balances more than 15 days past due may be subject to suspension of services. No interest will be charged, but services will not resume until the account is brought current.
  • Taxes: You are responsible for any applicable taxes associated with your subscription.

4. Client Responsibilities

To enable us to provide our services effectively, you agree to the following responsibilities:

  • Provide content: Supply all necessary text, images, logos, brand assets, and other content required for your website or marketing campaigns in a timely manner.
  • Timely feedback: Respond to our requests for review, approval, or feedback within a reasonable timeframe. Delays in providing feedback may affect project timelines.
  • Account accuracy: Ensure that all information you provide to us, including business details and contact information, is accurate and current.
  • Compliance: Ensure that all content and materials you provide do not infringe on the rights of any third party and comply with applicable laws.
  • Access: Provide necessary access to existing accounts, platforms, or third-party services required to complete your project (such as domain registrars, analytics, or ad accounts).
  • Account security: You are responsible for maintaining the confidentiality of any login credentials we provide to you and for all activities that occur under your account.

5. Intellectual Property

Upon full payment of all fees owed for a website design project, ownership of the final delivered website design, code, and visual assets transfers to you, the Client. This includes the right to use, modify, and distribute the delivered work for your business purposes.

However, the following exceptions apply:

  • Third-party materials: Any third-party tools, plugins, fonts, stock images, or open-source software incorporated into your project remain subject to their respective licenses. We do not transfer ownership of third-party materials.
  • WebYellow tools: We retain ownership of our proprietary tools, frameworks, templates, and processes used in delivering your project. You receive a license to use these components as part of your delivered website, but not ownership of the underlying tools.
  • Site content: You retain full ownership of all content you provide to us (text, images, logos, brand materials). You grant us a limited license to use this content solely for the purpose of providing services to you.
  • Portfolio: Unless otherwise agreed in writing, WebYellow may display your completed project in our portfolio and marketing materials. If you prefer your project not be included, please notify us in writing.

6. Cancellation and Refunds

You may cancel your monthly subscription at any time. Cancellations take effect at the end of your current billing cycle, and you will retain access to services through that date.

  • How to cancel: To cancel, email us at hello@webyellow.com at least 5 days before your next billing date to avoid being charged for the following cycle.
  • Website ownership upon cancellation: If you cancel a subscription that includes website hosting and maintenance, you will receive a copy of your website files. However, once hosting is discontinued, your website will no longer be live on our servers and you will need to arrange alternative hosting.
  • Refunds: Monthly subscription payments are non-refundable. If you cancel mid-cycle, no prorated refund will be issued for the remaining days in the billing period, but your services will remain active through the end of the cycle.
  • Project deposits: For custom design projects requiring an upfront deposit, deposits are non-refundable once work has commenced.

WebYellow reserves the right to suspend or terminate services immediately for violations of these Terms, including non-payment, fraudulent activity, or misuse of our services.

7. Limitation of Liability

To the fullest extent permitted by law, WebYellow LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising from your use of our services or these Terms.

Our total aggregate liability for any claim arising out of or relating to these Terms or our services shall be limited to the amount you have paid us in the three (3) months preceding the event giving rise to the claim.

We do not guarantee specific results from our marketing or SEO services. Search engine rankings, ad performance, and traffic metrics are influenced by factors outside our control, including search engine algorithm changes, market conditions, and competitor activity. Any performance estimates we provide are based on our experience and are not guaranteed outcomes.

You agree to indemnify and hold harmless WebYellow LLC, its members, employees, and contractors from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of our services, your content, or your breach of these Terms.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, United States of America, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or our services shall be resolved in the state or federal courts located in the State of Connecticut. You hereby consent to the exclusive jurisdiction and venue of such courts.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
